Jour Fixe with Luca Borsotti

During a Jour Fixe meeting, Luca Borsotti presented his current research project at the Juridicum titled "Legislative: Modification of Ongoing Contracts - Intertemporal Limits and the Problem of Retroactivity".  

His research explores the intertemporal effects of legislative modifications to contracts in the course of execution, with a focus on the controversial issue of retroactivity. Taking as a starting point the 2022 judgment of the Court of Justice of the European Union in joined cases C-475/20 and C-482/20, the study addresses a fundamental question: To what extent may the legislature lawfully modify existing contractual relationships, especially those of a long-term nature, without breaching the principles of legal certainty and the protection of legitimate expectations?

Anchored in Italian civil law theory, the analysis begins by reconstructing the concept and limits of contractual autonomy under Article 1322 of the Italian Civil Code and examines how legislative measures — even when not formally retroactive — may de facto produce intertemporal effects capable of altering the equilibrium of contracts still in force.

Following this insightful lecture, a fruitful discussion about the research project took place.  

Luca Borsotti is a PhD-candidate in private law at the Università degli Studi di Roma Tre.

Guest lecture of Prof. Thomale at the University of Lucerne

On May 1st, 2025 Prof. Thomale held a guest lecture at the University of Lucerne titled "Die disponible Mutter - Ethische und rechtliche Betrachtungen zur Leihmutterschaft" (The Substitute Mother - Ethical and Legal Observations regarding Surrogacy).

PAX Moot Court

Results from PAX Moot Court 2024

Last week, the 2024 - Petar Šarčević Round of the PAX Moot Court took place in Ljubljana.

Sophie Mochar, Fiona Bosek, Marie Kranlich and Pia Hejtmanek had already successfully qualified for the oral phase of the international student competition on private international law and international jurisdiction earlier this year. From April 23rd to 26th, they finally competed against teams from Szeged University (Hungary), Maastricht University (Netherlands), OP Jindal Global University (India) and Università Europea di Roma (Italy). A big thank you for our wonderful days in Slovenia and congratulation to our team members for their great performance.

PAX Moot Court is an international moot court competition. It has been held in English since 2012 and deals with transnational private law and (unified) international private law. You can find information about the application here.

1st Vienna M&A Day – Successful knowledge transfer at the highest level

On April 24, 2024, the first Vienna M&A Day took place under the scientific direction of Prof. Thomale in the historic premises of the "Haus der Industrie".

Over 20 leading figures in the field of M&A from academia and practice shared their many years of experience in eleven exciting specialist presentations. The pool of topics ranged from current market trends to detailed legal issues in corporate, insolvency and tax law (you can find the full program HERE) .

The launch of the new institution appears to have been a success: over 180 registrations and a lively exchange during and after the event speak for its necessity. Reason enough for the organizers to intend to continue this event next year. In this regard, the next generation in particular is invited to participate as speakers at the next conference and to apply to the organizers in this regard.

On January 1, 2024, following extensive preparatory work, Austria introduced a new type of closed company, called “Flexible Kapitalgesellschaft” (FlexKapG) or “Flexible Company” (FlexCo). The declared objective of the new statute is to create a corporate form particularly suitable for establishing start-ups. This post provides an overview of the roles and requirements of various stakeholders within start-ups and a brief introduction to the new law.

CFL3 in the Media - Article in Standard newspaper about the planned EU supply chain directive

Professor Dr. Chris Thomale and research assistant Stephan Schmid, LL.M., comment on the planned EU supply chain directive in the "Standard" newspaper.

According to the EU Supply Chain Directive, companies should monitor their suppliers for human rights violations, otherwise they could face penalties and compensation. The EU Parliament will vote on the draft on Wednesday. The article provides a critical evaluation of the final draft.
